Consultant Agreement

This agreement is dated (  ) is made by and between ( ) whose address is () (“Client”) AND Category 5 whose address is () (“Consultant)

1. Terms of Agreement:

This agreement will begin () and end (). Either party may cancel this agreement upon 30 days written notice, delivered by certified mail or in-person.

1. Consultant Services :

The Client hereby employs the consultant to perform the following services in accordance with the terms and conditions set forth in this agreement:

1. Train Client in the discipline of Quarterback; including but not limited to the fundamentals of:
1. The drop from center to a throwing position
1. From under center and from shotgun
2. From a set position and from a roll out position
2. The throwing motion
1. From multiple body positions.
2. From a set position in the pocket and from a roll out position outside the pocket.
3. Reading defensive fronts and coverages
1. Identification of defensive players by the most commonly used ID system
4. Decision making based on commonly used routes and patterns.
1. Basics of read and react
5. Leadership and Character Development.
1. Focus
2. Calmness
3. Confidence

1. Train Client to maintain and build upon skills learned from the development of Quarterback fundamentals.
1. Film Review
1. Consistent review of ongoing practices or other training activities
2. Offensive Philosophy
1. Development of complete understanding of all phases of an offense
3. Defensive Philosophy
1. Development of complete understanding of all phases of a defense
4. Continued Development of Leadership and Character
1. Counseling on behavior and actions within the football team environment and culture.

1. Develop target list of colleges and universities to market client
1. List will be developed in conjunction with clients’ parents and any other advisors approved by clients’ parents.
2. List will reflect reasonable assumptions based on:
1. Highest level and duration of play
2. Baseline athletic skills and size
3. Mastery of the Quarterback position

1. Market Client to targets via Category5sports.com
1. Develop a data storage page with game-film, 7 on 7’s, individual workouts, interviews, baseline athletic skills, and demonstration of the mastery of the quarterback position
2. Give access to page to coaches and recruiters at the target list schools.
3. Upon permission from client’s parents, give detailed background data and assessment of athletic skill to coaches and recruiters at target institutions.

1. If necessary, provide resources to client and client’s parents or advisors before, during, and immediately after signing a national letter of intent.
1. Resources include but are not limited to:
1. Counseling based on experience
2. Counseling based on expert knowledge of the marketplace
3. Counseling based on the needs, concerns, goals, and expectations of the client

1. Place Where Services will be Rendered:

The Consultant will perform most services in accordance with this contract at a location of consultant’s discretion.

1. Payment for Consultant Services:

Consultant services are $100 per hour for individual and group training on the field and in the classroom, (film review, experience-based resources). Monthly subscription fee for marketing services from Category5sports.com is $100 per month. The Consultant will be paid a monthly fee, which the Consultant will send in an invoice to the Client at the close of each month for monthly services rendered.

1. Independent Contractor:

Both the Client and Consultant agree the consultant will act as an independent contractor in the performance of its duties under this contract. Accordingly, the consultant shall be responsible for payment of all taxes including Federal, State, and local taxes arising out of the consultant’s activities in accordance with this contract, including by way of illustration but not limitation Federal and State income tax, Social Security Tax, unemployment taxes, and any other taxes or business license fee as required.

1. Confidential Information:

Both Client and Consultant agree that any information received or developed during any furtherance of the consultants’ obligations in accordance with this contract, which concerns (), by the consultant in full confidence, and will not be revealed to any other persons or organizations without prior written approval.

1. No Statement or Claim of Guarantee:

Consultant makes no claim or guarantee that client will improve clients’ highest level or duration of play, clients baseline athletic skill, or mastery of the quarterback position. Further, many variable conditions exist which may or may not attract an athlete to the coaches at any given institution, consultant is not responsible for the ultimate outcome of consultants’ marketing strategy.  Finally, consultant makes no claim client will obtain an athletic scholarship base on Category 5 services.
